WE ACT IN COMPLIANCE WITH CORPORATE GOVERNANCE PRINCIPLES, WHILE ADOPTING THE PRINCIPLES OF EQUALITY, TRANSPARENCY, ACCOUNTABILITY, AND RESPONSIBILITY, AND OBSERVE APPLICABLE LEGAL REGULATIONS IN OUR OPERATIONS TO CREATE SUSTAINABLE VALUE.

We continue our activities in compliance with the Corporate Governance Principles in order to protect all stakeholders, mainly shareholders, to act in the interests of stakeholders, and to create sustainable value for our country while growing. While adopting the principles of equality, transparency, accountability, and responsibility, we observe the banking legislation, capital market regulations, the Turkish Commercial Code, and other relevant regulations in our operations. In this context, we carry out Corporate Governance Compliance Reporting and prepare Corporate Governance Compliance Report (CRF) and Corporate Governance Information Form (CGIF) annually.

We have described in detail our environmental, social, and governance (ESG) efforts in 2021 under the Sustainability Principles Compliance Framework introduced upon the Communique Amending the Capital Markets Board's Corporate Governance Communique no. II.17.1 published in the Official Gazette on October 2, 2020. Pursuant to the decision of the Capital Markets Board no. 34/977 on June 23, 2020, disclosures required from affiliates whose shares are traded on BIST Stars, BIST Main, and BIST SubMarket under the sustainability principles compliance framework shall use the Sustainability Report template via the Public Disclosure Platform (KAP), which will be effective as of the reporting to be made regarding 2022. VakıfBank made necessary disclosures on KAP related to this decision. We have also utilized the Sustainability Report Template in the Integrated Annual Report.

We believe that corporate governance is through managing risks with a proactive approach in accordance with legal legislation and international standards, preventing situations that may cause a conflict of interest and ethical banking practices that increase transparency. We share the information and documents that should be presented to stakeholders transparently in the Investor Relations section of our website. Along with the financial risks that affect or may affect our institution; we also monitor non-financial risks, such as reputational risks and environmental risks, including climate change, and manage these risks in line with national legislation and international regulations.

In addition to being against all kinds of bribery and corruption, we are determined to comply with the relevant laws, regulations, and principles. Issues such as laundering proceeds of crime and fighting financing of terrorism and preventing the use of the financial system by criminals are also among the main areas that we focus on.
